Terms of Service

This is a draft written to reflect Planality's actual product as built. It has not been reviewed by an attorney — have it checked before relying on it for OAuth app verification, Stripe onboarding, or public launch.

1. Agreement to terms

By downloading, installing, or using Planality ("the app," "the service"), you agree to these Terms of Service. If you don't agree, please don't use Planality.

2. Description of service

Planality is an AI-assisted scheduling and productivity application for managing calendars, tasks, and projects, with optional integrations to third-party services (Google, Outlook, Notion, and others) and optional AI-powered features (auto-scheduling, re-planning, voice commands, and project scaffolding).

3. Accounts

Some features may require creating an account. You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 13 years old to use Planality.

4. Subscriptions and billing

Planality offers a free plan and paid subscription tiers. Paid subscriptions are billed in advance on a recurring basis (monthly or annual) through our payment processor, Stripe. By subscribing, you authorize us to charge your chosen payment method on a recurring basis until you cancel.

You may cancel your subscription at any time through your account settings or the Stripe-hosted customer portal; cancellation takes effect at the end of your current billing period. Fees already paid are non-refundable except where required by law.

We may change subscription pricing with reasonable advance notice; continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable use

You agree not to:

  • Use Planality for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to Planality's systems, other users' data, or connected third-party accounts
  • Reverse engineer, decompile, or attempt to extract source code from the app except as permitted by law
  • Use Planality to send spam, abuse, or malicious content through any connected integration (e.g. Zapier webhooks)
  • Interfere with or disrupt the integrity or performance of the service

6. Your content

You retain ownership of the tasks, notes, projects, and other content you create in Planality. By using AI-powered features, you understand that relevant content may be sent to an AI processing service (local or third-party) as described in our Privacy Policy in order to generate scheduling suggestions or respond to your requests.

7. Third-party integrations

Planality allows you to connect third-party services (Google, Outlook, Notion, weather data providers, and others). Your use of those services remains subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services, and connectivity issues on their end may affect Planality's functionality.

8. AI features — no guarantee of accuracy

Planality's AI-powered scheduling, re-planning, and voice assistant features are provided to assist you, not to guarantee a specific outcome. AI-generated suggestions, schedules, and command interpretations may occasionally be incorrect or unexpected. You are responsible for reviewing scheduled events and AI-suggested actions before relying on them, especially for time-sensitive commitments.

9. Intellectual property

Planality's name, branding, design, and underlying software are owned by us and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding beyond what's necessary to use the app as intended.

10. Termination

You may stop using Planality and delete your account at any time. We may suspend or terminate access to the service for violations of these Terms, including abusive use of connected integrations or attempts to circumvent subscription billing.

11. Disclaimers

Planality is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement. We do not guarantee the service will be uninterrupted, error-free, or that scheduling suggestions will always be accurate or appropriate for your circumstances.

12. Limitation of liability

To the maximum extent permitted by law, Planality and its creator shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service, including missed deadlines, scheduling conflicts, or data loss, even if advised of the possibility of such damages.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of Planality after changes take effect constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law principles.
